Welcome to Francisca Management Services Web Site ("www.Francisca.co.uk"). Please read carefully our Terms of Business which governs your use of our Web Site. By using this Site and placing a order, you are agreeing to them.
Services Provided: The client hereby agree to engage the consultant to provide the client with the following consulting services(the "services")
- Services is described as software as a services financial reporting of clients accounting data and analysing client needs and current business obstacles, employment HR and payroll bureau services, scoping potential business solutions and improving business process by implementing effective accounting principles and reporting based on information and explanation provided by the directors of limited company or sole traders/partners of a business.
- The Services of this Agreement will also include any other consulting task which the Parties may agree on at a later date at an addintion cost to client. The consultant in this case is the company "Francisca Management services Ltd" the client is any business or individual in business or partnership. All fees are charged at our minimum hourly rate of £100 but may be fixed by agreement depending on the additional work or integration of services. For clarification any chargeable new subscription by Sage or Microsoft constitutes integration of service.

Contract Formation
No contract shall subsist between you and Francisca.co.uk for the sale by it to you of any product unless and until Francisca.co.uk accepts your order by sending you a VAT invoice. Francisca Management Services specialises in selling to business and consumers and reserves the right to refuse orders it deems to be of large quantity or placed by resellers. Your order confirmation is for your convenience only and does not constitute an acceptance of your order. That acceptance will be deemed complete and will be deemed for all purposes to have been effectively communicated to you at the time Francisca.co.uk sends the email to you (whether or not you receive that email).
Title in the goods shall not pass to the customer until all sums due from the customer to the supplier on any account have been paid.
Returns and refunds Policy.
We cannot accept a return for goods that are not reported with physical damaged packaged box or broken seal on arrival with photographic proof of box damage. Returns will only be accepted with a valid return authorisation from the Manufacturer of product as defective with a reference from manufacturer to you with specific issues within 7 days of delivery of product. Outside this time manufacturer warranty will be the only resolve to any defective or issues with a product (except Software which is not returnable as it’s deemed consumed on receipt or electronic download) No refund will made for a software purchase. Any refund agreed for damaged or defective goods can take up to 28 days subject to manufacturer’s agreement.
If a product is not required after purchase it must only be returned in the same pristine condition without any broken seals or defaced box, there will be a charge for the cost of carriage and delivery of the products to you the customer and a restock fee of 25% of cost. This return request must be within 24 hours of delivery. On receipt of goods we will examine goods to make sure it is as sold and this process can take up to 14 days from receipt of goods.
Payment buy Monthly or 12 Monthly Instalments.
Should the customer/buyer elect to pay buy instalments, we reserve the right to vary the interest charges between the 2 options. The options is designed to offer the customer a flexible option to acquire goods and services offered on our website. This is not a credit application or a consumer credit offering. The choice provides only an extend payment terms of 1-12 months. Interest may be charged for the extended payment period and not as consumer credit terms. The price therefore reflects the extended payment period. No implied terms shall arise if the customer elects to pay by instatements except as intended: optional payment over 1The customer may elect to pay the full amount due at any time, in which case Francisca Management Services reserves the right to charge a termination fee equal to the amount due for the rest of the instalment period. You the customer must provide us Francisca Management Services with a replacement card should the card held on our system expires or replaced by your card issuer as soon as we alert you or you become aware that your card has expired or replaced by the bank.
Any default by way of missed or unpaid direct debit from the debit or credit card held on our payment system/Worldpay will have to be remedied in the following month by combining the missed payment with the following month's payment. If this payment fails due to referral by the issuing bank the full amount must be paid within 14 days of our notice to the customer. Failure to pay the overdue amount will require us (Francisca Management services Ltd) to start recovery process of the goods and the balance of the amount outstanding through the county court without further communications to the customer
Pricing
"List Price" - any "list price" used on this Site represents the manufacturers' suggested selling prices and may not be indicative of the prevailing selling prices at any specific time and place in your area.
"Our Price" - despite our careful attention to pricing, an item could be miss-priced inadvertently. If an item's correct price is lower than our quoted price, we will charge the lower (correct) amount and deliver the item to you. If an item's correct price is higher than our quoted price, Francisca Management shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. However, we might at our discretion decide to honour the lower (incorrect) price and send the item in order not to course you inconvenience.
You "Save" - all references to your "savings" on this Site are based on your average savings relative to the "list price" excluding the VAT calculation.
Delivery
We will deliver your order within normal working hours within 3 business day from receipt of the order if we receive your order before 5pm. If your order is received after 5pm, we will deliver the order within normal working hours within 2 business days. If for any reason we cannot deliver your order within this time period we will contact you immediately to arrange a new delivery time with you. If for any reason we cannot deliver your order within our time period you may at your option cancel your order and we will provide you with a full refund.
Your Order
We reserve the right to substitute goods within your order with goods of an equivalent nature (eg a blue stapler for a red one). If you do not wish to accept the substituted goods then you must return them to us within 7 days of their receipt.
Communication
We may contact you periodically to communicate promotions and special offers. As per the Privacy and Electronic Communications Regulations Act (PECR) 2003, on every communication a valid 'opt-out' option will be provided.
Personal Information
We do not collect any personal information from a visitor to our sites unless that visitor explicitly and intentionally provides it. Under no circumstances do we collect any personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, health, or sex life. For certain products/services, we may require your name, address, telephone number, e-mail address, credit card for recurring payment or direct debit payment. we may require an update of personal information such address and/or national insurance number, and/or another form of national identification such as passport or driving license photo card. Other products may require different or supplemental information from you in order to apply. Francisca Management Services Terms and Conditions for (Online Accounting Service Bureau)
1) Length of Agreement and Monthly Registration
The Agreement is for a minimum period of 12 months. Monthly validation of your subscription
payment is required to continue using the service and failure to register may result in termination of usage. You may terminate this agreement on one calendar month's written notice expiring on or at any time after the expiry of the minimum period. You cannot cancel optional products within 12 months of ordering them from us. However, if your subscription to that service terminates, your access to the optional products will also terminate at the same time.
2) Subscription Charges and Invoicing:
Payment is due monthly in advance via standing order/Debit card and Credit card but with a 2.5% charge to the standard charge subject to re-registration as described in paragraph one (above). You must provide and at all times maintain a valid e-mail address if you wish to receive VAT invoices for your subscription charges. You must notify us immediately
of any change in your e-mail address. We reserve the right to increase subscription charges on 30 days' prior written notice to you expiring at any time after the end of the minimum period.
3) License Terms:
The service is a subscription only and offers NO License terms.
4) PC / Internet Requirements:
To access the service, you will need a PC with minimum system requirements and access to the internet as advised to you by us. Provision of and payment for these is your sole responsibility. It is also your responsibility to ensure that any security or other configuration of your PC do not interfere with you access to the service and products
5) Service Provision:
The operation of the service and the products may not be uninterrupted and error free. No guarantee is provided about connectivity to the service or products via the internet.
6) Liability:
We will be liable to you if our negligence causes death or personal injury. If you are not satisfied with the service or any product, you must return everything to us within 7 working days, with a valid receipt and we will at our discretion provide you either a replacement, a credit note, or a refund. We accept no other liability to you in connection with this agreement or its subject matter, and any other claim you may have is governed by your agreement with the provider of the applicable product that forms part of the service
7) Data Protection:
We may retain your data for a period of one year after termination of this agreement to enable reactivation of the service at a later date.
